UGC Accelerator – Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PURCHASING, ACCESSING, OR USING THE UGC ACCELERATOR PROGRAM, WEBSITE, OR ANY RELATED MATERIALS.
By purchasing, accessing, or using the UGC Accelerator, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not purchase, access, or use the Program.

1. DEFINITIONS
“Company” refers to Tanner Clemens, Tanner Clemens Collective, and any affiliated entities, websites, platforms, or representatives, including but not limited to tannerclemenscollective.com.
“Program” refers to the UGC Accelerator, including all trainings, videos, calls, templates, materials, community spaces, and related content.
“User,” “You,” or “Participant” refers to any individual who purchases or accesses the Program.
“Content” refers to all materials provided within the Program, including videos, documents, scripts, templates, graphics, recordings, and written content.

2. ACCEPTANCE OF TERMS
By accessing the Site or purchasing the Program, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, which supersede any prior agreements or communications.

3. INTELLECTUAL PROPERTY & LICENSE
All Content within the Program is owned by the Company or its licensors and is protected by copyright, trademark, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Content for your personal business use only.
You may not:
Copy, reproduce, distribute, sell, license, share, or repurpose any Content
Use the Content to create competing courses, trainings, or programs
Claim the Content as your own
Share login credentials or grant access to others
Violation may result in immediate termination of access without refund and possible legal action.

4. NO INCOME OR RESULTS GUARANTEE
The Company makes no guarantees regarding income, brand deals, earnings, job placement, or business success.
Any earnings examples or testimonials are not promises of results. Your success depends entirely on your own effort, skill, time, experience, and execution.
You agree that:
No income claims are guaranteed
You are solely responsible for your results
The Company is not responsible for your financial outcomes

5. AFFILIATE PROGRAM RULES & FTC COMPLIANCE
If you participate in the Company’s affiliate program, you agree to the following rules:
a. FTC & Income Claim Compliance
You may not make false, misleading, or exaggerated income claims
You may not guarantee results, brand deals, or earnings
All affiliate promotions must comply with FTC disclosure requirements
b. Testimonial Restrictions
You may only use testimonials provided by the Company to promote the UGC Accelerator
Testimonials may not be used to promote other courses, programs, or offers
Testimonials must remain anonymous unless written permission is obtained from the individual
You may not claim testimonials as your own results
c. Course Creation & Content Use
You may not use any part of the Program to create, sell, or teach your own UGC course, training, or paid education product
Repurposing the Program into your own educational materials is strictly prohibited
d. Non-Compete
Affiliates may not promote, sell, or market any competing UGC education programs or directly competing courses while actively affiliated with the Company.
Violation of affiliate rules may result in:
Immediate termination from the affiliate program
Forfeiture of unpaid commissions
Removal from mentorship and community access

6. COMMUNITY & MENTORSHIP CONDUCT
The Company reserves the right to maintain a safe, respectful, and compliant community.
You agree not to:
Post misleading income claims
Share confidential or proprietary information
Harass, solicit, or spam other members
Violate these Terms or applicable laws
The Company reserves the right to remove or ban any participant from the Program or community at its sole discretion, without refund.

7. PAYMENT TERMS & NO REFUNDS
You agree to pay all fees associated with your purchase
All sales are final due to the digital nature of the Program
No refunds, chargebacks, or exchanges are offered
Prices may change at any time, and the Company does not offer price protection.

8. CALLS & SCHEDULING (IF APPLICABLE)
If your purchase includes calls:
You are responsible for scheduling
Calls are non-refundable
Cancellations must be submitted at least 48 hours in advance
Missed or late calls are forfeited

9. DISCLAIMERS & LIMITATION OF LIABILITY
The Program is provided “as is” without warranties of any kind.
The Company shall not be liable for:
Direct or indirect damages
Loss of income, profits, data, or business opportunities
Technical issues with third-party platforms
Your use of the Program is entirely at your own risk.

10. INDEMNIFICATION
You agree to indemnify and hold harmless the Company from any claims, damages, or legal fees arising from:
Your breach of these Terms
Your business activities
Your use or misuse of the Program

11. GOVERNING LAW & JURISDICTION
These Terms shall be governed by the laws of the State of Texas.
You agree to submit to exclusive jurisdiction in Collin County, Texas.

12. MODIFICATIONS
The Company may update these Terms at any time. Continued use of the Program constitutes acceptance of the updated Terms.

13. TERMINATION OF ACCESS
The Company reserves the right to:
Terminate Program or mentorship access
Modify compensation structures
Change Program content or delivery
At any time, with or without notice, if Terms are violated.
